Terms of Service
These Terms of Service ("Terms") are a legally binding agreement between you and Aeen— the product and brand operated by sahel alenjaz Project Management L.L.C S.O.C, a company established in the United Arab Emirates ("Aeen", "we", "us", or "our") — and govern your access to and use of our websites, mobile applications, application programming interfaces, and related services (together, the "Service"). By creating an account, accessing, or using the Service you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. You consent to entering into this agreement electronically, which is valid and enforceable under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years oldand able to enter into a binding contract under the laws of your jurisdiction. The Service is not intended for minors. If you use the Service on behalf of a company or other entity, you represent that you are authorised to bind that entity to these Terms, and "you" refers to that entity. You represent that you are not located in, and are not ordinarily resident in, any country or on any list that would make your use of the Service unlawful under applicable trade-sanctions or export-control laws (see Section 18).
2. Accounts and Security
You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it current. Notify us promptly at [email protected] if you suspect unauthorised access. We may suspend or terminate accounts, with or without notice, to protect the Service, other users, or to comply with the law.
3. The Service and the Nature of AI Output
The Service uses artificial-intelligence models to generate and edit images, video, and related assets based on the prompts and reference materials you provide. Output is produced on a best-effort basis. Because AI models are probabilistic, output may be inaccurate, unexpected, offensive, or may resemble existing works or persons. You are solely responsible for reviewing and evaluating output before relying on or publishing it. Output is not professional advice of any kind. You must not use the Service or its output in a way that misleads others about its AI-generated nature where disclosure is required by law.
4. Plans, Credits, Billing, and Taxes
- Paid subscriptions are billed in advance on a recurring basis (monthly or yearly) through our payment partner Stripe, until cancelled.
- Each subscription includes a credit allowance for its billing period. Unless stated otherwise in-product, subscription credits do not roll over and expire at the end of the period.
- One-time top-up credit packs are billed once and do not expire while your account remains active.
- Generations that fail for technical reasons do not consume credits; affected credits are returned automatically.
- You may cancel a subscription at any time from your account settings or via the Stripe billing portal. Cancellation stops the next renewal; you keep access until the end of the current period.
- Prices are stated exclusive of taxes unless noted. You are responsible for all applicable taxes, levies, and duties, including UAE Value Added Tax (VAT) where due, which we may add to your charges.
- Refunds are governed by our Refund Policy.
5. Pricing Changes; Promotional, Demo, and Beta Offers
Prices, plans, and credit allowances shown in the Service are current illustrations and may change at any time. The plans, prices, and credit amounts displayed today may be promotional, introductory, or for demonstration purposes. The authoritative price and credit allowance for any purchase are those shown to you in-product at the moment you confirm that purchase.
We may add, change, or discontinue plans, prices, credit allowances, and features at any time. For recurring subscriptions, we will give you reasonable advance notice of a price increase that affects your next renewal, and the new price applies only from that renewal — you may cancel before it takes effect. Some features may be offered as "beta", "preview", or "demo" and may be changed or withdrawn without liability.
6. Acceptable Use
You agree not to use the Service to create, upload, store, transmit, publish, or promote content that:
- depicts the sexual exploitation or abuse of minors, or any non-consensual or unlawful sexual content;
- defames, harasses, threatens, bullies, or incites violence or hatred against any person or group;
- impersonates a real person, creates non-consensual deepfakes, or otherwise misrepresents identity or origin;
- infringes the intellectual-property, privacy, publicity, or other rights of any third party;
- is unlawful under the laws of the United Arab Emirates, including content that offends public morals or decency, insults religions or religious symbols, is blasphemous, or threatens national security, public order, or the reputation of the State or its institutions;
- promotes terrorism, extremism, organised crime, illegal gambling, illicit drugs, or other illegal activity;
- contains malware or is designed to disrupt the Service or any third-party system; or
- violates any applicable law, regulation, or third-party terms.
You also agree not to:
- attempt to bypass or disable safety filters, rate limits, usage limits, or watermarks;
- reverse-engineer, decompile, or attempt to derive source code, models, or weights underlying the Service;
- resell, sublicense, or expose the Service's APIs to third parties without our written agreement;
- scrape, crawl, or extract data from the Service in bulk, or use it to build a competing product or to train a competing model; or
- use the Service in any manner that could damage, overburden, or impair it.
We may remove offending content and suspend or terminate accounts we reasonably believe violate this Section, without prior notice. Repeat or severe violations result in permanent termination without refund. We may report unlawful content (including child sexual abuse material) to the competent authorities.
7. Your Content
You retain all ownership rights in the prompts, reference images, brand-kit assets, and other materials you submit ("Your Content"). You grant Aeen a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, process, and display Your Content solely to operate and provide the Service to you and to comply with the law.
You represent and warrant that you own or have all rights, consents, and permissions necessary to submit Your Content and to generate the resulting Output, and that doing so does not violate any law or any third party's rights (including intellectual-property, privacy, and publicity/likeness rights). You are solely responsible for Your Content and for how you use the Output.
We do not use Your Content to train our own or any third party's AI models, except for content you voluntarily make public through features such as the Explore gallery and only with your explicit consent.
8. Output and Ownership
Subject to your compliance with these Terms and to the rights of third parties, you own the images, video, and other outputs generated for you ("Output") and may use them for personal or commercial purposes. Free-tier Output may be watermarked; you may not remove, obscure, or alter watermarks on free-tier Output. Because AI models are probabilistic, the same or similar Output may be generated for other users; we make no guarantee of uniqueness, originality, or non-infringement, and you are responsible for clearing any rights needed for your intended use.
9. Aeen Intellectual Property
Aeen retains all rights in the Service itself, including its software, models we own or fine-tune, user interfaces, trademarks, and brand. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. Any feedback or suggestions you submit may be used by us freely, without restriction, attribution, or compensation.
10. Intellectual-Property Complaints
We respect intellectual-property rights. If you believe content on the Service infringes your rights, send a notice to [email protected] that identifies the work, the allegedly infringing material and its location, your contact details, and a statement that your complaint is made in good faith. We will review valid notices and may remove content and, where appropriate, terminate repeat infringers.
11. Third-Party Services
The Service depends on third parties, including AI model providers, cloud infrastructure, authentication services, and the payment processor Stripe. Their availability, terms, and pricing are outside our control, and outages or changes on their side may affect the Service. Your use of third-party services is subject to their terms.
12. App Stores (Apple App Store and Google Play)
Where you download our application from the Apple App Store or Google Play (each, an "App Store"), the following applies. These Terms are between you and Aeen only, not with any App Store, and the App Store is not responsible for the application or its content.
- Your licence to use the application is limited to use on devices you own or control, as permitted by the applicable App Store's usage rules.
- The App Store has no obligation to provide any maintenance or support for the application; we are solely responsible for support, to the extent we offer it.
- To the maximum extent permitted by law, the App Store has no warranty obligation for the application. If the application fails to conform to any applicable warranty, you may notify Apple, and (for purchases made via the Apple App Store) Apple may refund the purchase price, if any; otherwise the App Store has no other warranty obligation.
- We, not the App Store, are responsible for addressing any claims relating to the application, including product-liability claims, claims that it fails to conform to legal requirements, consumer-protection claims, and claims that it infringes a third party's intellectual-property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting", and that you are not on any U.S. Government list of prohibited or restricted parties (an Apple requirement).
- You must comply with applicable third-party agreements (for example, your wireless data-plan terms) and with the applicable App Store's terms of service.
- Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you. Google and the operator of any other App Store are likewise intended beneficiaries to the extent their rules require.
13. Disclaimers
The Service and all Output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Aeen disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements or that Output will be accurate, lawful for your use, or fit for any purpose.
14. Limitation of Liability
To the maximum extent permitted by law, Aeen and its owners, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of (or inability to use) the Service or any Output, even if advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the total amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Aeen and its affiliates, owners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (i) Your Content; (ii) your use of, or inability to use, the Service; (iii) your use of any Output; or (iv) your violation of these Terms, any third-party right, or any applicable law.
16. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or others. Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including Sections 7–10 and 13–21 — will survive termination.
17. Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, network or power failures, or the failure of third-party providers.
18. Export Controls and Sanctions
You must comply with all applicable export-control and economic- sanctions laws (including those of the UAE, the United States, and the United Nations). You may not use or export the Service in violation of those laws, and you represent that you are not a restricted or sanctioned party.
19. Changes to the Service or These Terms
We may modify the Service or these Terms at any time. For material changes to the Terms, we will provide at least 14 days' advance notice (for example, by email or in-product notice). Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
20. Governing Law and Dispute Resolution
These Terms are governed by the federal laws of the United Arab Emirates and, to the extent applicable, the laws of the Emirate of Dubai, without regard to conflict-of-law principles.
Informal resolution first. Before starting any formal proceeding, you agree to contact us at [email protected] and try in good faith to resolve the dispute for at least 30 days.
If the dispute is not resolved, it will be subject to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, United Arab Emirates, and you consent to their jurisdiction. To the maximum extent permitted by applicable law, you and Aeen each waive any right to bring or participate in a class, collective, or representative action, and disputes will be resolved only on an individual basis. Nothing in this Section limits any non-waivable rights or remedies you may have under the mandatory consumer-protection laws of your country of residence.
21. Miscellaneous
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Aeen regarding the Service and supersede any prior agreement. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a corporate transaction. These Terms are drafted in English; any translation is provided for convenience and the English version controls.
